Terms of Service

By accessing or using TenderAI ("TenderAI", "we", "us", or "our") at https://tender-ai-pi.vercel.app, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service.

These Terms apply to all users, including visitors, registered users, and paying subscribers.

TenderAI is a B2B Software-as-a-Service (SaaS) platform that provides AI-powered tender intelligence, bid analysis, and proposal generation tools. The platform uses large language model (LLM) technology to assist businesses in analyzing procurement opportunities, evaluating bid viability, identifying risks, and generating proposal drafts.

The platform includes the following core features:

• AI-generated bid decision scorecards (Go / Conditional Go / No-Go)
• Risk intelligence analysis and flag detection
• Requirement extraction and compliance matrices
• Proposal draft generation
• Bid review and optimization output
• Evaluation criteria extraction and weighted response planning

AI-generated content is provided for informational and strategic assistance purposes only. It does not constitute professional legal, financial, or procurement advice. Users are responsible for reviewing and verifying all AI-generated output before use in any formal submission.

To access the platform, you must create an account using Google OAuth authentication. You agree to:

• Provide accurate and complete information during account creation
• Maintain the security of your account credentials
• Promptly notify us of any unauthorised use of your account
• Take responsibility for all activity that occurs under your account

We reserve the right to terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods.

Paid subscriptions are processed through Paddle (paddle.com), our authorised Merchant of Record. By subscribing, you agree to Paddle's terms of service and authorise recurring billing on the cycle selected at checkout.

Subscription plans:

• Starter ($39/month) — 5 AI tender packs per month
• Professional ($129/month) — 25 AI tender packs per month
• Agency ($349/month) — Unlimited AI tender packs
• Enterprise — Custom pricing, invoiced separately

All prices are in USD. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Unused pack allowances do not roll over to the following month.

Paddle, as the Merchant of Record, is responsible for all payment processing, tax collection, and compliance in your jurisdiction.

You agree to use TenderAI only for lawful business purposes. You must not:

• Use the service to generate content that is fraudulent, deceptive, or intended to mislead procurement authorities
• Attempt to reverse-engineer, scrape, or systematically extract data from the platform
• Share, resell, or sublicense access to the service without our prior written consent
• Use automated tools, bots, or scripts to access the service in ways that circumvent usage limits
• Upload content that contains malware, viruses, or malicious code
• Violate any applicable laws, regulations, or third-party rights

We reserve the right to suspend or terminate access immediately for any violation of this section.

Our IP: The TenderAI platform, including its software, design, prompts, logic, and branding, is the exclusive intellectual property of TenderAI. Nothing in these Terms grants you any ownership rights to the platform.

Your content: You retain ownership of all tender data, company information, and other content you submit to the platform. By submitting content, you grant us a limited licence to process that content for the sole purpose of providing the service to you.

AI output: AI-generated content produced by the platform in response to your inputs is provided to you for your own use. We make no claim of ownership over specific output generated from your inputs, though we retain rights to the underlying generation system.

To the maximum extent permitted by applicable law:

• TenderAI is provided "as is" without warranties of any kind, express or implied
• We do not guarantee that AI-generated content is accurate, complete, or fit for any particular purpose
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Our total aggregate liability to you shall not exceed the amount you paid to us in the three months preceding the claim

You acknowledge that tender submission decisions are made at your sole discretion and responsibility. AI output is a decision-support tool, not a guarantee of bid success.

You may cancel your subscription at any time through your account settings or by contacting us at legal@tenderai.com. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. In the event of termination by us without cause, we will provide a pro-rated refund for any unused subscription period.

These Terms shall be governed by and construed in accordance with internationally recognised commercial law principles. Disputes will be resolved through good-faith negotiation in the first instance. If unresolved, disputes shall be submitted to binding arbitration in accordance with internationally recognised arbitration rules.

Nothing in this section limits your rights under applicable mandatory consumer protection laws in your jurisdiction.

We reserve the right to modify these Terms at any time. Material changes will be communicated by email to registered users or by a prominent notice on the platform at least 14 days before the changes take effect. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
